These Terms of Use ("Terms") govern access to and use of shinetechsoftware.com and its content, forms, and related website features (the "Site"), which are provided by Shinetech Software Inc. ("Shinetech," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you use the Site on behalf of an organization, you represent that you are authorized to act for that organization.
If you do not agree to these Terms, do not use the Site. Additional notices or terms may apply to a particular feature and form part of these Terms.
1. Website Information Is Not a Service Agreement
The Site provides general information about Shinetech, its experience, capabilities, services, and perspectives. Website content is not a proposal, binding offer, warranty, professional advice, or guarantee of a particular result. Examples, case studies, availability, time frames, and other descriptions may be summarized, may change, and may not apply to your circumstances.
A business relationship for software development or another service begins only when the relevant parties sign an agreement. Any master services agreement, statement of work, data processing agreement, nondisclosure agreement, order, or other signed document governing that relationship will control over these Terms if there is a conflict.
2. Permitted Use
You may access and use the Site for lawful personal or internal business purposes, including learning about Shinetech and evaluating whether to contact us. You may download or print a reasonable number of pages for those purposes if you keep all copyright, trademark, and other notices intact.
3. Prohibited Use
You may not:
- use the Site in violation of law, regulation, another person's rights, or these Terms;
- copy, republish, sell, license, modify, create derivative works from, or commercially exploit Site content except with our written permission;
- remove or alter copyright, trademark, attribution, or proprietary notices;
- scrape, harvest, or use contact information from the Site for spam, unsolicited marketing, or abusive communications;
- interfere with Site operation, overload infrastructure, bypass access controls, introduce malicious code, or attempt unauthorized access;
- probe or test vulnerabilities without Shinetech's prior written authorization; or
- misrepresent your identity, affiliation, or the origin of information you submit.
4. Intellectual Property
The Site and its text, graphics, logos, designs, software, videos, downloads, trademarks, and other content are owned by or licensed to Shinetech and are protected by intellectual property laws. Except for the limited permission stated in these Terms, no right or license is granted to you by implication, estoppel, or otherwise.
Third-party names, trademarks, client materials, and logos remain the property of their respective owners. Their appearance on the Site does not imply an endorsement or a broader license.
5. Inquiries and Other Submissions
When you submit information through a form or email, you represent that the information is accurate, that you have the right to provide it, and that doing so does not violate another person's rights or obligations. You authorize Shinetech and relevant affiliates and service providers to use the submission as reasonably necessary to respond, evaluate your request, protect the Site, and operate our business in accordance with our Privacy Policy.
Submitting an inquiry does not create a client, employment, fiduciary, or other professional relationship and does not obligate either party to proceed. Unless an applicable nondisclosure agreement or other written agreement is already in effect, do not submit source code, credentials, regulated data, trade secrets, or other highly confidential information through a public website form.
6. Client Engagements, Fees, and Payment
Descriptions of services on the Site do not set the scope, price, delivery schedule, acceptance criteria, payment terms, refund rights, or other commercial terms of a client engagement. Those matters are governed only by the applicable signed agreement and invoice. Nothing on this Site changes an existing agreement between you and Shinetech.
7. Privacy and Website Technologies
Our Privacy Policy explains how we collect, use, disclose, and protect personal information and describes cookies, analytics, advertising, and form-security technologies used on the Site. The Privacy Policy is incorporated into these Terms by reference.
8. Third-Party Websites and Services
The Site may contain links to or integrate with third-party websites, tools, platforms, and services. Shinetech does not control and is not responsible for their availability, security, content, accuracy, or privacy practices. A link does not necessarily mean that Shinetech endorses the third party. Your use of a third-party service is governed by that party's terms and policies.
9. Site Availability and Changes
We may update, suspend, restrict, or discontinue any part of the Site at any time. We do not promise that the Site will always be available, error-free, secure, or compatible with every device or browser. We are not responsible for delays or failures outside our reasonable control.
10. Disclaimer of Warranties
To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available," without express or implied warranties. Shinetech disclaims warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage of trade.
Nothing in these Terms limits any warranty or right that cannot lawfully be excluded.
11. Limitation of Liability
To the fullest extent permitted by law, Shinetech and its affiliates, officers, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Site, third-party links, or these Terms, even if advised that such damages were possible.
These limitations do not apply to liability that cannot be limited or excluded under applicable law. Liability relating to client services is governed by the applicable signed agreement rather than this section.
12. Applicable Law and Disputes
Applicable law governs these Terms and any non-contractual dispute relating to use of the Site, subject to mandatory rights that cannot be waived. The governing law, forum, and dispute process for a client engagement are stated in the applicable signed agreement.
13. Changes to These Terms
We may update these Terms to reflect changes to the Site, our practices, or legal requirements. The revised Terms become effective when posted unless a later date is stated. The "Last updated" date shows when the Terms were most recently revised. Your continued use of the Site after the effective date means you accept the updated Terms.
14. General Terms
If a provision of these Terms is found unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign rights or obligations under these Terms without our written consent. These Terms and incorporated notices are the entire agreement concerning use of the Site, but they do not replace a signed client agreement.
